These Terms of Service govern your access to and use of websites, products, software, and digital platform services operated by Kapseller LLC.
By using our websites or products, you agree to these Terms.
1. Company information

2. Our products
Kapseller LLC designs, builds, owns, and operates digital platform products.
Our products may include software tools, online profiles, listing management features, discovery tools, availability tools, account management features, and other digital services.
Tutoryum is one of our products. Tutoryum is a software-based education listing and discovery platform for educators and institutions.
Tutoryum subscriptions are for access to Kapseller’s digital platform tools. They are not payments for tutoring lessons, classroom instruction, or other human services provided by educators.
3. User accounts
You may need to create an account to use certain products or features.
You are responsible for keeping your account information accurate, secure, and up to date. You are responsible for all activity that occurs under your account.
We may suspend or restrict access to an account if we reasonably believe that the account is being used in breach of these Terms, applicable law, platform policies, payment rules, or security requirements.
4. Listings and user content
Users may be able to create profiles, listings, descriptions, availability information, educational program information, images, documents, or other content.
You are responsible for the accuracy, legality, and completeness of any content you submit.
You must not submit content that is false, misleading, unlawful, infringing, abusive, discriminatory, harmful, spam-like, or otherwise inappropriate.
We may review, edit, reject, remove, suspend, or restrict listings or content where we reasonably believe this is necessary for safety, compliance, quality control, fraud prevention, legal reasons, or platform integrity.
5. No guarantee of results
Kapseller does not guarantee that any profile, listing, or product feature will generate views, leads, students, customers, bookings, revenue, or any specific result.
Discovery, visibility, and user engagement may depend on many factors, including search filters, location, category, availability, listing quality, demand, competition, and platform rules.
6. Educator and institution responsibility
Educators and institutions are responsible for the services, programs, lessons, qualifications, availability, prices, claims, and communications they provide outside Kapseller’s own digital platform subscription.
Kapseller does not guarantee the accuracy of user-submitted qualifications, credentials, documents, educational claims, or service descriptions.
Where verification features are offered, verification may be limited to the checks described in the product and does not guarantee future conduct, service quality, legal eligibility, or educational outcomes.
7. Payments and subscriptions
Some products are offered as paid subscriptions.
For web purchases, payments may be processed by Paddle, our authorized reseller and Merchant of Record. Paddle may calculate and collect applicable taxes and issue transaction documents or invoices for web purchases. Paddle acts as reseller and Merchant of Record for tax and payment handling in this model.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our web orders. Paddle provides all customer service inquiries and handles returns.
Mobile app purchases, where available, may be processed separately through Apple App Store or Google Play depending on the platform used.
Subscription fees, billing cycles, renewal rules, cancellation options, and applicable taxes are shown before purchase or at checkout.
What the subscription provides. A paid Tutoryum subscription unlocks a defined number of active listing slots and the associated software tools (listing publication, profile management, discovery visibility). It does not include any lesson or classroom instruction time; Tutoryum does not collect lesson fees and does not take any per-lesson commission.
Billing cycle and auto-renewal. Subscriptions bill monthly in advance and renew automatically at the end of each billing period unless cancelled beforehand. The renewal date is the calendar day of the previous charge; if the next renewal falls on a non-existent date the store or Merchant of Record applies its own end-of-month rule. You will be charged for a full billing period on each renewal.
Cancellation. You can cancel a subscription at any time. Cancellation stops the next renewal but does not automatically end the current paid period — access continues until the end of the period you have already paid for. Cancellation does not by itself trigger a refund; see Section 9.
Where you manage a subscription and request a refund depends on the channel that originally processed the payment: Apple App Store subscriptions are managed and refunded through Apple's account tools; Google Play subscriptions are managed and refunded through Google Play; Paddle web subscriptions are managed through the customer link Paddle sends with every receipt and via Paddle's buyer support. These three flows are separate; the Merchant of Record for each channel controls its own refund process.
Introductory / free-trial periods. Where Kapseller offers a free trial period on a web subscription, that period is a server-side introductory period managed by Kapseller — it is not an Apple App Store 'introductory offer' or a Google Play 'free trial' configured in the store. Trial availability, duration, and eligibility are shown at checkout. Where a free trial is offered on iOS or Android via a store-native mechanism, it is subject to that store's rules.
Upgrade and downgrade. You may change your subscription plan; the effect on the current billing period (prorated credit, immediate change, or change at next renewal) depends on the channel and is shown before you confirm the change.
Restore Purchases. On iOS and Android, the app supports the native 'Restore Purchases' flow so an entitlement purchased under your App Store or Google account can be re-linked on a reinstall or a new device.
Failed payments and grace period. If a scheduled renewal payment fails, the Merchant of Record (Apple, Google, or Paddle) applies its own retry / grace-period rules before treating the subscription as lapsed. Access may be maintained during the grace period as permitted by the channel.
8. Taxes
Prices may be shown excluding taxes unless stated otherwise.
Applicable taxes, including VAT, sales tax, GST, or similar taxes, may be calculated and collected at checkout by the relevant payment provider or Merchant of Record.
You are responsible for providing accurate billing, location, and tax information where required.
9. Cancellations and refunds
Customers may request a refund within 14 days of the transaction date for eligible web purchases processed by Paddle. Refund requests are reviewed and processed by Paddle in accordance with Paddle’s Refund Policy and Buyer Terms.
Because Kapseller products provide digital access to software tools, listing creation, profile management, visibility, and discovery features, refunds may be refused or limited once the subscription, listing, profile, or digital service has been activated, used, or made available to the customer, except where mandatory consumer law or the applicable Merchant of Record policy requires otherwise.
You may cancel a subscription at any time to stop future renewals. Cancellation does not automatically create a refund for the current or previous billing period.
Mobile app purchases, where available, may be processed by the Apple App Store or Google Play; refunds for those purchases are handled according to the applicable store’s refund rules and process.

10. Acceptable use
You must not use our products to:
- violate any applicable law or regulation;
- misrepresent your identity, qualifications, services, or affiliation;
- publish false, misleading, harmful, or unlawful content;
- upload malware, spam, or abusive content;
- interfere with platform security or integrity;
- scrape, copy, reverse engineer, or misuse the platform;
- bypass payment, subscription, or access controls;
- use the platform for fraud, harassment, or unlawful commercial activity.
11. Platform changes
We may update, modify, suspend, or discontinue parts of our websites or products from time to time.
We may change features, design, pricing, supported countries, categories, moderation rules, verification processes, or technical requirements where reasonably necessary.
12. Intellectual property
Kapseller LLC owns or licenses the software, design, trademarks, branding, text, graphics, interfaces, databases, and other materials used in our websites and products.
You may not copy, modify, distribute, resell, or exploit our intellectual property without written permission.
You retain ownership of content you submit, but you grant Kapseller a worldwide, non-exclusive, royalty-free license to host, display, process, reproduce, and use that content as necessary to operate, improve, secure, and promote the platform.
13. Third-party services
Our products may use third-party services for hosting, analytics, payments, security, communications, database infrastructure, and other operational purposes.
Third-party services may have their own terms and privacy policies.
14. Suspension and termination
We may suspend, restrict, or terminate access to our products if we reasonably believe that:
- you breached these Terms;
- your content or activity creates legal, security, fraud, payment, or reputational risk;
- payment fails or a subscription is canceled;
- we are required to do so by law, payment providers, app stores, regulators, courts, or competent authorities;
- continued access would harm users, Kapseller, or platform integrity.
15. Marketplace role and contractual relationship
Tutoryum operates as a listings marketplace and communication tool. It is not a party to any tutoring engagement, lesson, course, coaching session, mentoring arrangement, or other educational service arranged between users.
Any lesson or programme agreed between a learner (or a parent or guardian) and an educator or institution is a direct contract between those users. Kapseller does not set the price of that lesson, does not collect payment for that lesson, does not intermediate the transfer of lesson fees, and takes no per-lesson commission.
Kapseller does not employ educators or institutions. Educators and institutions are independent providers responsible for their own qualifications, licensing, tax compliance, insurance, and the substance and delivery of their services.
Kapseller subscription fees (Section 7) are consideration for access to the platform's software tools — listing publication, profile management, discovery visibility, messaging and appointment scheduling — and are separate from any lesson or programme fee.
16. User-generated content and reporting
The platform allows users to publish profiles, listings, availability, ratings, reviews, and messages (collectively, "user content"). You are solely responsible for the accuracy, lawfulness, and appropriateness of the user content you publish and for keeping it current.
You must not publish user content that is fraudulent, misleading, defamatory, harassing, discriminatory, obscene, sexually explicit, violent, hateful, invasive of privacy, or otherwise unlawful in any jurisdiction where the content is accessible.
You must not use user content to solicit users into off-platform arrangements that bypass the platform's subscription, safety, or reporting features.
Users can report user content or another user's behaviour that they believe violates these Terms by contacting __LEGAL_EMAIL__ with the subject line "report" together with the URL or account handle and a short description. We review reports in the order received and take proportionate action (which may include content removal, feature restriction, temporary suspension, or account termination) at our reasonable discretion.
We may also proactively remove or restrict user content that we reasonably believe violates these Terms, applicable law, or a payment provider or app-store policy, without prior notice where necessary to protect users or the platform.
17. Intellectual property complaints
If you believe user content on the platform infringes your copyright, trademark, or other intellectual property right, please send a written notice to __LEGAL_EMAIL__ with the subject line "IP notice" that includes: (a) identification of the protected work or mark; (b) the specific URL or listing where the allegedly infringing content appears; (c) your contact information; (d) a statement of good-faith belief that the use is not authorised; and (e) an electronic or handwritten signature.
We will review complete notices and, where the claim is credible, remove or restrict access to the identified content and notify the user who published it. That user may submit a counter-notice by the same channel with a statement of good-faith belief that the content was removed or restricted as a result of mistake or misidentification.
We may terminate the accounts of users who repeatedly publish content that is the subject of upheld intellectual-property complaints.
This is a contractual notice-and-takedown procedure. It is not, and does not by itself establish, participation in any statutory safe-harbour regime (including but not limited to the United States Digital Millennium Copyright Act 17 U.S.C. §512). Where a statutory regime applies, its requirements govern in addition to this procedure.
18. Minors and guardian responsibility
Educator and institution accounts require the account holder to be at least 18 years of age.
Learners under the age of majority in their jurisdiction may use the platform only under the responsibility of, and with the consent of, a parent or legal guardian. The parent or legal guardian is responsible for the child's use of the platform, including any lesson or programme arrangement made through it, and for any payment, contract, or engagement entered into with an educator or institution.
Kapseller does not attempt to verify parental or guardian consent independently. Where you interact with the platform on behalf of a child, you represent that you have that authority.

19. Disclaimers
Our products are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we do not guarantee uninterrupted availability, error-free operation, specific business results, user engagement, search ranking, revenue, educational outcomes, or compatibility with every device or system.
20. Limitation of liability
To the maximum extent permitted by law, Kapseller LLC shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from your use of our products.
Our total liability for claims relating to a paid subscription shall not exceed the amount paid to Kapseller or its authorized reseller for the relevant subscription during the three months before the claim arose, unless applicable law requires otherwise.
21. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law rules, unless mandatory consumer protection laws in your country require otherwise.
22. Changes to these Terms
We may update these Terms from time to time.
The updated version will be posted on this page with a new “Last updated” date. Continued use of our products after the update means you accept the updated Terms.
